Convert HTML Website to Wordpress Theme

We need to create a new custom responsive Wordpress theme for an existing Wordpress website.
We have a fully functional HTML prototype website already built. All the design, html, css, and javascript has been done. Now it just needs to be converted to a custom Wordpress theme and finalized to make sure everything works well to replace the existing theme.
You will have access to a dev subdomain on the server with all the files on the existing WP site and all the files of the HTML prototype site.
Please let me know the cost, timeframe, and how you will go about completing this project.
