Excel function to impove flexibilty of Proper() function

In Excel, the Proper() function will change "IBM CORPORATION" to Ibm Corporation. I need a modified proper function that will work *exactly* like the current, except it takes one additional parameter. The additional parameter will be an integer, for example, 3. The function is for cleaning up company names, Example usage: ProperCompany(A2,3). This new parameter tells the minimum set of uppercase characters that should be ignored and not changed. So "IBM CORPORATION" becomes "IBM Corporation". In this case, "HAPPY SYSTEMS" would be "Happy Systems", but "HAP SYSTEMS" would be "HAP Systems'. Make sure to look at how the current Proper function treats delimiters like period, comma and end of the line.

The function should also have a data structure that can be edited which will include words that should be excluded from the new rule. Example: {The, Is, if, it, has}. Assume that this structure will potentially grow to a few thousand entries. You do not have to build this structure, but make sure you test with a bunch of words. If the word is excluded, it should be handled like the current Proper() function.

More examples (assume 3 as a parameter)

AB SYSTEMS, becomes AB Systems

STAR labs, becomes Star Labs

HBO Online , becomes HBO Online
